Company Information: These Terms & Conditions govern the services provided by: OTOCO BASE WY LLC – UpAscendia – Series 138 159 N. Wolcott St. Suite 133 Casper, WY 82610, USA (hereinafter referred to as “UpAscendia”)

Scope of Services: UpAscendia provides services including, but not limited to: Strategic advisory and business consulting Artificial intelligence, software development, and digital solutions Blockchain-based solutions and process traceability Digital transformation and process optimization Sustainability and ESG advisory Executive coaching and leadership development programs All services are defined in detail in specific proposals, statements of work, or service agreements.

Engagement and Acceptance: By contracting services from UpAscendia, the Client agrees to these Terms & Conditions. Each engagement will be governed by a written proposal or agreement specifying scope, deliverables, timelines, and fees.

Fees and Payment Terms: Fees are agreed in writing prior to the start of services Unless otherwise specified, invoices are payable within fifteen (15) calendar days UpAscendia reserves the right to suspend services in case of late payment Any additional costs or scope changes must be agreed in advance

Confidentiality: Both parties agree to maintain strict confidentiality regarding any non-public, sensitive, or proprietary information exchanged during the engagement. This obligation remains in force even after the termination of the relationship.

Intellectual Property: Deliverables specifically created for the Client become the Client’s property upon full payment UpAscendia retains ownership of its methodologies, frameworks, tools, know-how, and pre-existing intellectual property The Client may not reuse or distribute proprietary frameworks without written consent

Nature of Services: UpAscendia’s services combine technology, strategy, and human development. The Client acknowledges that results depend on: Implementation decisions Leadership engagement Internal alignment and execution UpAscendia provides guidance, tools, and support, but does not control internal execution.

No Guarantee of Results: UpAscendia does not guarantee specific business, financial, operational, or personal outcomes. All recommendations and coaching processes are provided based on professional expertise and best practices.

Limitation of Liability: To the maximum extent permitted by law: UpAscendia’s liability is limited to the total fees paid for the relevant services UpAscendia shall not be liable for indirect, incidental, or consequential damages

Termination: Either party may terminate an engagement with reasonable written notice. In such case: The Client shall pay for all work performed up to the termination date Any non-cancellable costs incurred will be payable

Governing Law: These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, unless otherwise agreed in writing.
